Terms & Conditions

These Terms and Conditions (“Agreement”) govern the website design, hosting, and related services provided by Simple Mates ABN 30 557 143 081 (“we”, “us”, “our”) to you (“Client”, “you”). By making payment or using our services, you agree to be bound by this Agreement.
Section 01
Services
Simple Mates provides the following services:
- Design and development of a single-page or multi-page website tailored to your business
- Website hosting on our managed infrastructure
- An online contact form so your customers can reach you directly
- Minor content updates upon written request (see Section 6 for scope)
- Ongoing uptime monitoring for the duration of your hosting subscription
All websites are built using your provided content and our professional templates. Your site will be made live upon receipt of payment and your final approval.
Section 02
Fees and Payment
2.1 Setup Fee
A one-time setup fee is payable prior to your website going live. The setup fee covers design, development, domain configuration, and initial deployment.
2.2 Monthly Hosting Fee
A recurring monthly hosting fee is charged from the date your website goes live. This fee covers hosting, uptime monitoring, and minor content update entitlements. The hosting fee is billed automatically via Stripe unless an annual pre-payment arrangement has been agreed in writing.
2.3 Annual Pre-payment
Clients may elect to pre-pay 12 months of hosting at a discounted rate as agreed in writing. Pre-paid hosting fees are non-refundable except as outlined in Section 3.
2.4 Payment Method
All fees are processed securely via Stripe. By providing your payment details, you authorise Simple Mates to charge the applicable fees. You are responsible for keeping your payment details current.
Section 03
30-Day Money Back Guarantee
We stand behind our work. If you are not satisfied with your website for any reason, you may request a full refund of your setup fee and any hosting fees paid within 30 days of your initial payment date. No questions asked.
To request a refund under this guarantee:
- Submit your refund request in writing to our contact email within 30 calendar days of your initial payment date
- Refunds are processed within 5–10 business days via your original payment method
- Upon refund, your website will be taken offline and the domain (if purchased by Simple Mates on your behalf) will be released or transferred to you at your request
This guarantee applies to the initial setup fee and any hosting fees paid within the 30-day window. It does not apply to additional services or major change fees paid separately.
Section 04
Hosting and Cancellation
4.1 Cancellation by Client
You may cancel your hosting subscription at any time by providing written notice. Cancellation takes effect at the end of the current billing period. No partial-month refunds are provided after the 30-day guarantee period.
4.2 What Happens on Cancellation
- Your website will be taken offline within 7 days of the cancellation date
- We will provide you with a copy of your website files upon written request, at no additional charge
- Domain names purchased on your behalf may be transferred to you or released, at your election
4.3 Cancellation by Simple Mates
We reserve the right to suspend or cancel your hosting if:
- Any hosting payment remains unpaid for more than 14 days after the due date
- Your website is found to contain illegal, defamatory, or harmful content
- We cease to offer hosting services (in which case we will provide 30 days written notice)
Section 05
Website Content and Client Onboarding
5.1 Client Responsibilities
To complete your website, we will send you a short onboarding form requesting your business details, services, photos, and other content (“Client Content”). You agree to:
- Complete and return the onboarding form within 14 days of receiving it
- Ensure all content you provide is accurate, lawful, and does not infringe any third-party rights
- Provide sufficient information for us to build a professional, functional website
5.2 Accuracy of Website Claims and Representations New
Important: The Client is solely and entirely responsible for the accuracy, truthfulness, and legality of all claims, representations, qualifications, licences, certifications, endorsements, and other statements displayed on their website.
This includes, but is not limited to:
- Trade licences, contractor licences, and professional certifications (e.g., licensed plumber, licensed electrician)
- Business registration details, ABN, and insurance claims
- Descriptions of services offered, qualifications held, and areas serviced
- Testimonials, reviews, and endorsements
- Any regulatory or compliance-related claims
Simple Mates builds websites based on information provided by the Client and does not independently verify the accuracy or validity of any claims. Simple Mates accepts no liability whatsoever for any false, misleading, or inaccurate content published on a Client’s website, including any penalties, fines, legal action, or loss arising from such content.
The Client agrees to indemnify and hold harmless Simple Mates, its directors, employees, and contractors from any claims, damages, costs, or liabilities arising from inaccurate or misleading content on the Client’s website.
Section 06
Changes and Revisions
6.1 One Minor Change (Included)
After your website goes live, you are entitled to one (1) minor change at no additional cost. A minor change includes small adjustments such as:
- Deleting a single element
- Updating a phone number, email, or address
- A minor text correction
This entitlement applies once only and must be requested within 30 days of your site going live.
6.2 No Changes Included After Payment
Outside of the one minor change above, no further changes are included in the setup fee. All additional changes, regardless of size, will be quoted and must be approved in writing before any work commences.
6.3 Major Changes (Additional Cost)
The following are considered major changes and will always require a new written quote:
- Structural redesign or layout changes
- Addition of new pages
- Integration of APIs, booking systems, e-commerce, or third-party tools
- Custom functionality not included in the original build
- Significant branding changes
No major change work will begin without your written approval and payment confirmation.
Section 07
Intellectual Property
7.1 Your Content
You retain full ownership of all content, branding, logos, photos, and materials you provide to us (“Client Content”). You grant Simple Mates a non-exclusive, royalty-free licence to use, display, reproduce, and modify Client Content solely for the purpose of building, operating, and maintaining your website.
7.2 Our Templates and Code
Simple Mates retains ownership of its website templates, code base, design systems, and proprietary tools. Upon payment in full, you are granted a non-exclusive licence to use the completed website while your hosting subscription remains active.
7.3 Portfolio Use
You grant Simple Mates the right to display your completed website as a portfolio example, and to reference your business name and industry in our marketing materials (e.g. “We built a site for a plumber in Parramatta”). We will not publish confidential business information or misrepresent your business in any way.
7.4 Footer Credit
Simple Mates reserves the right to include a small, unobtrusive “Website by Simple Mates” credit in the footer of your website. You may request removal of this credit at any time and we will action it within 5 business days.
Section 08
Warranties and Limitation of Liability
Simple Mates will use reasonable skill and care in providing the services. However:
- We do not guarantee that your website will generate any particular level of traffic, leads, or revenue
- We are not liable for any loss of business, loss of income, or indirect or consequential losses arising from your use of our services
- Our total liability to you in connection with this Agreement is limited to the total fees paid by you in the 3 months preceding the relevant claim
Nothing in this Agreement excludes any rights you have under the Australian Consumer Law that cannot be excluded by contract.
Section 09
Privacy
We collect and use your personal information only as required to provide the services described in this Agreement. We will not sell or share your personal information with third parties except as required to deliver the services (e.g. hosting providers, payment processors). Our handling of personal information is governed by the Australian Privacy Act 1988.
Section 10
Domain Names New
10.1 Domain Selection and Registration
Where Simple Mates registers a domain name on behalf of the Client, the domain name and top-level domain extension (e.g. .com, .xyz, .com.au) are selected at Simple Mates’ sole discretion, unless an alternative has been specifically agreed in writing prior to purchase. Simple Mates will endeavour to choose a domain that reasonably reflects the Client’s business name or services.
10.2 Domain Registration Period
Domain names are typically registered for a period of twelve (12) months. However, Simple Mates reserves the right to register domains for shorter or longer periods at its sole discretion depending on pricing, availability, and operational requirements. The Client acknowledges that the registration period may not align with the hosting subscription period.
10.3 Domain Renewal
Important: Simple Mates is under no obligation to renew any domain name registered on behalf of the Client. Domain renewal costs are the Client’s responsibility and are not included in the monthly hosting fee unless explicitly stated in writing.
If Simple Mates elects not to renew a domain, the Client will be notified at least 14 days before the domain expiry date. In such cases, the Client may:
- Request a transfer of the domain to their own registrar account to manage independently
- Request that Simple Mates renew the domain at the Client’s cost, subject to the renewal pricing at the time
- Allow the domain to expire, in which case the website may become inaccessible at the expired domain
10.4 Domain Ownership
Domains purchased by Simple Mates on behalf of the Client are registered in Simple Mates’ registrar account for administrative convenience. The Client retains beneficial interest in the domain and may request a transfer to their own registrar account at any time, free of charge, subject to standard registrar transfer requirements and timelines.
10.5 Domain Modifications
Simple Mates reserves the right to update, modify, or change DNS settings, nameservers, and other technical configurations associated with the Client’s domain as operationally required to maintain, secure, or improve the performance of the Client’s website.
10.6 Domain Costs Passed to Client
Where the Client requests a specific domain name or extension that incurs a higher registration or renewal cost, the additional cost may be passed on to the Client and will be quoted prior to purchase. The Client must approve any additional domain costs in writing before the domain is purchased.
Section 11
General
- This Agreement is governed by the laws of New South Wales, Australia
- If any provision of this Agreement is found to be unenforceable, the remaining provisions continue in full force
- We may update these Terms and Conditions from time to time. We will notify you of material changes by email. Continued use of our services after notice constitutes acceptance of the updated terms
- This Agreement constitutes the entire agreement between the parties with respect to the services and supersedes all prior discussions
